Mr.
Wood concentrates his practice on the representation of physicians
and other health care providers (including surgery centers, dentists,
physical therapists, podiatrists, and oral surgeons), group practices,
and network organizations such as physician organizations and IPAs.
He also regularly practices in the areas of commercial real estate,
banking, and sophisticated corporate transactions, including joint
ventures, mergers and acquisitions.
He has
extensive experience
in Medicare fraud and abuse compliance, physician practice acquisitions,
managed care contract negotiations, HMO/IPA legal issues, and antitrust.
Mr. Wood has lectured for the New York State Bar Association, the
Medical Group Management Association and various medical societies,
and has authored numerous articles in the areas of health care
and corporate law. He is a regular columnist for The Bulletin,
published by the Onondaga County Medical Society and co-author
of Medical/Legal Newsletter published jointly by Wood & Smith,
PC and the Onondaga County Medical Society. He serves on the Board
of Directors of the National Kidney Foundation of Central New York.
Mr. Wood received a J.D., magna cum laude, from the Syracuse University
College of Law in 1980. Mr. Wood is also a member of the Florida
bar and the American Health Lawyers Association.
Bruce A. Smith
Mr.
Smith concentrates in the corporate and health care areas. In the
health care area, he represents individual physicians, physician
groups, several regional IPAs, ambulatory surgery centers and other
health-related organizations in a variety of health care, financing
and business matters. Mr. Smith has expertise in fraud and abuse,
self-referral, antitrust, Medicare compliance, managed care and
other health-specific legal areas that impact whether, and on what
terms, business transactions in the health care area can be undertaken.
Mr. Smith is a regular author for The Bulletin, a quarterly publication
of the Medical Societies of Oneida, Herkimer, Madison, Chenango
and Oswego Counties and has lectured on health care and business
topics to, among other audiences, the Medical Group Management
Association, New School of Social Research, the Syracuse University
Tax Institute, the New York State Association of Ambulatory Surgery
Centers and various county Medical Societies. He is also co-author
of Medical/Legal Newsletter published jointly by Wood & Smith,
PC and the Onondaga County Medical Society Mr. Smith is a member
of the American Health Lawyers Association. Mr. Smith received
a J.D., cum laude, from Syracuse University College of Law in 1981
where he was a member of the SYRACUSE LAW REVIEW.
Michael J. Sarofeen
Mr. Sarofeen is currently
affiliated as special tax
counsel to the law firm of Wood & Smith, P.C. and practices
extensively in
the areas of business tax, business succession, estate, and wealth
preservation planning, federal and New York business and individual
tax
advocacy, compensation and retirement planning, and business mergers
and
acquisitions. Formerly Chair of the Tax Practice Group of Hiscock & Barclay,
LLP, and formerly Chair of the Tax and Estate Planning Section
of Devorsetz
Stinziano Gilberti Heintz & Smith, P.C., Mr. Sarofeen received
his B.S.,
summa cum laude, in CPA Accounting (with concentrations in Economics
and
Finance) from Syracuse University School of Management and his
J.D., magna
cum laude, from the Syracuse University College of Law. Mr. Sarofeen
has
over twenty five years of experience representing clients including
individuals as well as small, medium and large businesses local,
national,
and international in scope. He has acted as lead counsel for mergers
and
acquisitions, real estate exchanges, executive compensation and
business
formation matters for a number of business organizations. He has
lectured
extensively for the New York State Bar Association and other organizations
in Taxation and Advanced Planning.
